Welcome, and thank you for your interest in odia, which operates the web site located at http://odia.shikhya.org/ and related online services (the .Website.). The following Terms of Service is a legal contract between you, an individual subscriber, customer, member, or user (.You.), and Oresoft regarding your use of the Website. Visitors and users of the Website are referred to individually as .User. and collectively as .Users..


User Accounts


In order to fully participate in all Site activities, you must register for a personal account on the Site (a .User Account.) by providing an email address and a password for your User Account. You agree that you will never divulge or share access or access information to your User Account with any third party for any reason. You also agree to that you will create, use, and access only one User Account, and that you will not access the Site using multiple User Accounts.


In setting up your User Account, you may be prompted or required to enter additional information, including but not limited to your name and location. Additional information may be required to confirm your identity. You represent that all information provided by you is accurate, current and complete and you agree that you will maintain and update your information to keep it accurate, current and complete. You acknowledge that if any information provided by you is untrue, inaccurate, not current or incomplete, we reserve the right to terminate your use of the Sites.


Age Restrictions


Registration and participation on the Sites is restricted to those individuals over 18 years of age, emancipated minors, or those who possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations and warranties herein. By registering or participating in services or functions on the Sites, you hereby represent that you are over 18 years of age, an emancipated minor or in possession of consent by a legal parent or guardian and have the authority to enter into the terms herein. In any case, you affirm that you are over the age of 13 as the Site is not intended for children under 13. If you are under 13 years of age, do not use the Sites. If you do not qualify or do not agree to these terms, you may not use the Site.


User Honor Code.


To the extent a Student is registered as a student in an accredited institution or educational institution with its own policy regarding student conduct or an "honor code," those terms shall apply to any such Student. Additionally, unless the following conflicts with such a policy or honor code, a Student of the Online Courses agrees that he or she:


1) will not harass other users;


2) will not cheat on any homework assignment or exams for the Online Courses;


3)will not post any of the course materials online;


4)will not share content or solutions to homework assignments or exams.



Specific Obligations of Mentors.


As a mentor registered with the Site, you agree that:


You are fully responsible for the content you provide, and accuracy of the information; In connection with the content you provide, you affirm, represent, and/or warrant that: you own or have the necessary licenses, rights, consents, and permissions to use and authorize us to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all of your content to enable inclusion and use of the content in the manner contemplated by the Site and these Terms of Service.


You have the required qualifications, credentials and expertise, including without limitation, education, training, knowledge and skill sets, to teach and offer the services you mention.


You will not post any inappropriate, offensive, racist, hateful, sexist, sex-related, false, defamatory or libelous content


You will not distribute viruses, post spam, chain mails or other such data.


You will not use the Site for any business other than for providing tutoring, teaching and instructional services.


You will not copy, modify or distribute Company Content (as defined below) from our Site, including trademarks and copyrights.


You will not interfere with or otherwise prevent other Mentors from providing their services


You will keep Your Data (as defined below) up-to-date, and respond to users seeking your services in a timely fashion, so as to ensure quality of service provided to students, parents and other users of the Site


If you are under the age of 18, but are qualified to be a Educator, you will obtain parent or legal guardian permission as and when needed, and before registering with the Site.


If you are in a locale where any form of educating requires a license or other form of governmental permission, you shall not use this Site or act as a Mentor until such license and permission is obtained.



Licensing Submitted Content


While you retain any and all rights in any Submitted Content you make available through the Service, we need certain rights to the Submitted Content and in that Submitted Content in order to make the Service available. By uploading or otherwise making available any Submitted Content, you automatically grant and/or warrant that the owner has granted to us a non-exclusive, royalty-free, perpetual, world-wide, irrevocable, transferable license with the right to grant sublicenses through multiple tiers of sublicenses to publicly display, publicly perform, distribute, store, transcode, syndicate, broadcast, reproduce, edit, modify, create derivative works, and otherwise use and reuse your Submitted Content (or any portion or derivative works thereof) in any manner, in any medium, for any purpose to the extent required to modify or deliver the Services. This license enables us to provide the Services and provide access to the Submitted Content and is not intended to otherwise limit your rights to the Content.


You hereby waive any and all rights of privacy, publicity, or any other rights of a similar nature in connection with the exploitation of the Submitted Content, or any portion thereof, or of your name, personality, likeness, image or voice in connection with the Submitted Content, or any advertising or publicity relating thereto.

The Sites may include hyperlinks to sites maintained or controlled by others. Neither Oresoft nor the mentors are responsible for nor do they routinely screen, approve, review or endorse the contents of or use of any of the products or services that may be offered at these sites.


We appreciate that Linked Sites may contain material in which the operator of the Linked Sites has intellectual property rights. We respect those rights and provide the links for information purposes only. The fact that we have linked to any Linked Site does not create or imply any relationship or partnership with the operator of such Linked Site.


Disclaimer of Warranty / Limitation of Liabilities.


You expressly acknowledge and agree that your use of the Sites, the Online Courses and all content and services available on the website is at your sole risk and responsibility. THE ONLINE COURSES (INCLUDING ANY CONTENT) IS PROVIDED "AS IS" AND "AS AVAILABLE" WITH NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. YOU ASSUME TOTAL RESPONSIBILITY AND THE ENTIRE RISK FOR YOUR USE OF THE ONLINE COURSES AND CONTENT.


WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT (A) THE CLASS SITES, CONTENT, OR THE ONLINE COURSES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS OR ACHIEVE THE INTENDED PURPOSES, (B) THE CLASS SITES OR THE ONLINE COURSES WILL NOT EXPERIENCE OUTAGES OR OTHERWISE BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, (C) THE INFORMATION OR CONTENT OBTAINED THROUGH THE CLASS SITES OR THE ONLINE COURSES WILL BE ACCURATE, COMPLETE, CURRENT, ERROR-FREE, COMPLETELY SECURE OR RELIABLE, OR (D) THAT DEFECTS IN OR ON THE CLASS SITES OR CONTENT WILL BE CORRECTED. UNDER NO CIRCUMSTANCES SHALL ORESOFT BE LIABLE TO THE USER OR ANY THIRD PARTY WITH RESPECT TO ANY SUBJECT MATTER OF THIS TERMS OF USE (INCLUDING ANY BREACH OF SECURITY OR DATA LOSS) UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER THEORY FOR ANY INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES OR LOST PROFITS, LOSS OR INACCURACY OF DATA OR DOCUMENTS OR COST OF PROCUREMENT OF SUBSTITUTE GOODS, SERVICES OR TECHNOLOGY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR WHETHER ANY REMEDY SET FORTH HEREIN FAILS OF ITS ESSENTIAL PURPOSE OR OTHERWISE. ORESOFT'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THIS TERMS OF USE WILL NOT EXCEED THE GREATER OF TWENTY U.S. DOLLARS ($20) OR THE AMOUNT OF FEES RECEIVED BY ORESOFT FROM THE COMPLAINING USER FOR THE USE OF THE CLASS SITES OR ONLINE COURSES; THE EXISTENCE OF MULTIPLE CLAIMS SHALL NOT EXPAND OR INCREASE THE FOREGOING LIMITATION. THE PARTIES ACKNOWLEDGE THAT THIS CLAUSE REFLECTS THE AGREED UPON ALLOCATION OF RISK BETWEEN THE PARTIES AND THAT ORESOFT WOULD NOT ENTER INTO THIS TERMS OF USE OR MAKE THE ONLINE COURSES AVAILABLE TO USER WITHOUT THESE LIMITATIONS ON LIABILITY. THIS LIMITATION OF LIABILITY WILL APPLY NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY SET FORTH HEREIN.


INDEMNITY.


You agree to indemnify, defend and hold harmless Oresoft, its subsidiaries and affiliates, and each of their officers, directors, agents, employees, and assignees from any and all claims, liabilities, expenses and damages, including reasonable attorneys' fees and costs, made by any third party relating to or arising out of (a) your use or attempted use of the Class Sites or Online Courses in violation of the Terms of Use, (b) your use or attempted use of any code, program, data, information or any other Content provided on the Class Sites or through the Online Courses in a manner inconsistent with these Terms of Use, (c) your use or your violation of any law or rights of any third party, or (d) your information you post or otherwise make available on the Class Sites or through the Online Courses, including without limitation any claim of infringement of intellectual property or other proprietary rights.


TERMINATION RIGHTS.


You agree that Oresoft, in its sole discretion, may terminate your use of the Class Sites or Online Courses for any reason or no reason, including, without limitation, if Oresoft believes that you have (a) breached the Terms of Use; (b) infringed the intellectual property rights of a third party; (c) posted, uploaded or transmitted Unauthorized Content to the Class Sites; or (d) violated or acted inconsistently with the letter or spirit of these Terms of Use. You agree that any termination of your access to the Class Sites or Online Courses may be effected without prior notice to you and that Oresoft shall not be liable to you nor any third party for any termination of your account or the Online Courses.


Copyright Infringement.


We do not promote, foster or condone the copying of copyrighted material or any other infringing activity. Any unauthorized use of the Site or its contents will terminate the limited license granted by us.


If you believe that your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please provide us our Copyright Agent (identified below) a notice with the following information:


a. an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;


b. a description of the copyrighted work or other intellectual property that you claim has been infringed;


c. a description of where the material that you claim is infringing is located on the Site;


d. your address, telephone number, and email address;


e. a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and

In all cases, your continued use of the Sites after publication of such modifications, with or without notification, constitutes binding acceptance of these modified Terms of Use.

What You Consent to by Using Our Site


Please understand that by submitting any Personally Identifiable Information to us, you consent and agree that we may collect, use and disclose such Personally Identifiable Information in accordance with this Privacy Policy and our Terms of Use, and as permitted or required by law.
